Terms and Conditions (the "Agreement") governs your use of Apex Sanitation
Kleaners LLC Cleaner platform service www.apexsanitationkleaners.com.
We reserve the right to change this Agreement at any time by posting a revised Agreement on the
Site. We will notify you that changes have been made by indicating on the top of this Agreement
the date it was last revised (following the words "Last Revised"). In addition, if the changes are
significant, we will use reasonable efforts to notify you of the changes via email, but changes are
effective regardless of whether we notify you by email or not. The revised Agreement will be
effective immediately after it is posted on the Site. Your use of the Site following posting of a
revised Agreement will constitute your acceptance of any such revisions. We encourage you to
review this Agreement whenever you visit the Site to make sure that you understand the current
terms and conditions governing your use of the Site. If you do not agree to this Agreement
(including the Contract and the Privacy Policy), please immediately discontinue your use of the
Site and the Services.
The Cleaner-Profile services provided through the platform, is an online profile system whereby
you register and create a user profile; utilize tools for communicating with prospective Clients;
and access content provided by Apex Sanitation Kleaners LLC. The Service is to create a
database of Cleaners, whereby the prospective Client can select a given Cleaner for Cleaning
Services.
In the future we may offer additional or different Services, change the Services, or charge for the
Services, and this Agreement will apply to any additional or revised Services. We may also cease
offering some or all of the Services without notice and without liability to you.

Acceptable Use
We encourage you to tell your friends about Apex Sanitation Kleaners LLC. However, you
may only do so through means that are consistent with the terms and conditions of your own
Internet service provider as well as prevailing standards of acceptable Internet use and behavior.
12. Feedback
Any communication you send to us, including feedback data, such as questions, comments, or
suggestions regarding the Platform (collectively "Feedback"), is non-confidential, and may be
used by us for any purpose whatsoever, including but not limited to developing, manufacturing
and marketing products incorporating such Feedback, without notice or compensation to you,
and by submitting such Feedback you grant Apex Sanitation Kleaners LLC a perpetual,
royalty-free worldwide license to use such Feedback in any medium whatsoever.
13. Notices
All written notices to Apex Sanitation Kleaners LLC shall be delivered via email to
admin@apexsanitationkleaners.com. Apex Sanitation Kleaners LLC may provide you notice
of changes to this Agreement or any other matter by displaying notices to you generally on the
Platform. Apex Sanitation Kleaners LLC may change its address by displaying such changes
on the Platform.
14. Miscellaneous
a. Exclusivity This Agreement constitutes the complete and exclusive agreement between you
and Apex Sanitation Kleaners LLC and supersedes any other oral or written communications
between the parties regarding the subject matter herein. Any rights not expressly granted herein
are reserved.
b. Non-Waiver
You acknowledge and agree that the failure of Apex Sanitation Kleaners LLC, its assignees or
its successors, or any providers of Our Content to enforce any of the specific provisions of these
Terms shall not comprise a waiver of, or preclude or prevent any later, further or other
enforcement of such provision(s), or any other provision(s).
c. Severability
These Terms shall be deemed severable. In the event that any provision is determined to be
unenforceable or invalid, such provision shall nonetheless be enforced to the fullest extent
permitted by law, and such determination shall not affect the validity and enforceability of any
other remaining provisions.
d. Governing Law & Disputes
These Terms are governed by the laws of Apex Sanitation Kleaners LLC, without regard to
conflict of laws principles. If anyone brings a claim against Apex Sanitation Kleaners LLC,
related to a Cleaner's actions, content or information on Apex Sanitation Kleaners LLC, that
Cleaner will indemnify and hold us harmless from and against all damages, losses, and expenses
of any kind (including reasonable legal fees and costs) related to such claim.
You hereby agree that if there is any dispute with respect to the Service that you agree to enter
and mediate any dispute regarding the use of the Service.
You hereby agree that you will cover all legal costs of Apex Sanitation Kleaners LLC and of
yourself with respect to mediation. You further hereby agree that Apex Sanitation Kleaners
LLC will appoint and or request a mediator of its choosing, in order to mediate any dispute
between Apex Sanitation Kleaners LLC and other individuals.
e. Assignment
This Contract may not be assigned or transferred by you without our prior written approval. We
may assign or transfer this Contract without your consent, including but not limited to
assignments: (i) to a parent or subsidiary, (ii) to an acquirer of assets, or (iii) to any other
successor or acquirer. Any assignment in violation of this section shall be null and void. This
Contract shall insure to the benefit of permitted successors and assigns.

Apex Sanitation Kleaners LLC Profile
To create a Apex Sanitation Kleaners LLC profile, you must provide the following
information:
a. Email Address
You agree that the information you provide: (1) is true, current and complete, and (2) is
maintained, updated by you to keep it true and accurate. We reserve the right to terminate your
use of the site if we, in our sole discretion, determine that any of your information is inaccurate
or incomplete.
b. Profile Security
You are the sole authorized user of your Profile. Apex Sanitation Kleaners LLC has no control
over the use of any Cleaner's profile by the Cleaner or third parties and expressly disclaims any
liability derived therefrom.
c. When you complete your profile registration with us, you will be required to provide certain
personal information. You agree that such information will be true, accurate and complete, and
that you will update this information promptly when it changes. If you provide any information
that is untrue or inaccurate, not current, or incomplete, or if we suspect that your information is
untrue or inaccurate, not current, or incomplete, we may, in our sole discretion, suspend or
terminate your right to access any material for which registration is required. Any personally
identifiable information collected, used, and disclosed hereunder will be subject to the terms of
the Privacy Policy.
d. Identification
You will provide us with such proof of identity as we may reasonably request from time to time.
You agree that you will provide us as much information as possible so that prospective clients
can contact you in order to inquire about Cleaning Services. Failing to provide such contact
information, Apex Sanitation Kleaners LLC reserves its right to terminate your user profile
without notice.
e. Disclosure by Law
You acknowledge and agree that we may disclose information you provide, if required to do so,
by law, or if we, in our sole discretion, believe that disclosure is reasonably necessary to comply
with the law, requests or orders from law enforcement, or any legal process.
4. The Cleaner-Profile
a. Once your profile is created, the Cleaner. The Cleaner can submit their availability for when
they can provide Cleaning Services.
b. When providing your availability, the Cleaner must allocate, on minimum, 1 hour per cleaning
service.
c. Prospective Clients, or site Visitors, who wish to obtain Cleaning Services, will choose a date,
address, time and Cleaner of their preference.
